HNE EOP-Direct User Agreement 
between Health New England, Inc. and 
Provider/Authorized Representative of Provider

This Agreement sets forth the terms and conditions governing the usage of the HNE EOP-Direct web site (“the Site”). Each User of the Site must read this Agreement and agree to the terms and conditions set forth herein prior to accessing the Site. By clicking the “I accept” button you are representing and warranting that you have the capacity and authority to enter into this agreement either as a Provider or Authorized Representative of a Provider.

1.     Provider’s Obligations. Provider agrees as follows: 

a.     Provider will only allow those employees whose job duties require access to the Site to access the Site.

b.     Provider acknowledges that the information on the site is Protected Health Information subject to both state and federal confidentiality laws. Provider agrees to abide by the requirements of these state and federal laws when accessing, using, or disclosing information obtained from the Site.  

2.     User’s Obligations. Each User of the Site agrees as follows: 

a.     User will not disclose the data elements required to access the Site to any third party or allow any unauthorized user to access the Site.

b.     User shall access the Site only as necessary to perform User’s job duties.

c.     User will ensure that any information accessed or retrieved from the Site is maintained in confidence and not disclosed to any third party except as specifically authorized by HNE in writing.

d.     User acknowledges that the information obtained from the Site is and will continue to be the sole and exclusive property of HNE. Provider/User further acknowledges that the Site, and the URL associated therewith, are and will continue to be the sole and exclusive property of HNE.  

3.     General Provisions.  

a.     Any third party content or information available on or through the Site is provided “as is” and its use is at User’s sole risk.

b.     This Agreement may not be assigned or otherwise transferred by Provider without HNE’s prior written consent. User may not assign or otherwise transfer this Agreement.

c.     This Agreement contains the entire Agreement between the parties with regard to the use of the Site. This Agreement supersedes all prior understandings between the parties, whether written or oral, with respect to the use of the Site.

d.     If any term or provision of this Agreement is invalid, illegal, or unenforceable, the remainder of this Agreement will not be affected.

e.     Sections 2a and 3 of this Agreement shall survive termination of this Agreement.

f.     This Agreement shall be governed by the laws of the Commonwealth of Massachusetts. 

4.     Termination. HNE may immediately terminate this Agreement and User’s rights to access the Site at any time, without cause, without notice and without penalty.
